Data Processing and Access Agreement

Effective Date: May 11, 2025

1. Introduction

This Data Processing and Access Agreement (the "Agreement") is entered into between EuropaDX, Inc. ("Company," "we," "us," or "our") and the individual or entity ("User," "you," or "your") who completes the registration form to request access to our cloud-based system, EuropaDX (the "System").

2. Acceptance of Terms

By checking the "I accept the license agreement" box and submitting the registration form, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not access or use the System.

3. Data Collection and Processing

3.1 Personal Data Collection

We collect the following personal data when you complete the registration form:

• Full name
• Email address
• Company name

3.2 Purpose of Data Collection

Your personal data is collected and processed for the following purposes:

• To provide you with access to the EuropaDX System
• To create and manage your user account
• To authenticate your use of the System
• To send you important notifications regarding the System, including updates and security alerts
• To provide customer support and respond to your inquiries

3.3 Legal Basis for Processing

We process your personal data based on the following legal grounds:

• Performance of the contract between you and us (providing access to the System)
• Your consent, which you provide by checking the acceptance box
• Our legitimate interests in operating and improving our System

4. Data Storage and Security

4.1 Data Storage Period

We will retain your personal data for as long as necessary to fulfill the purposes outlined in this Agreement, or as required by applicable law. If you request deletion of your account, we will delete or anonymize your personal data unless we are legally required to retain certain information.

4.2 Data Security

We implement appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

Under the General Data Protection Regulation (GDPR) and other applicable data protection laws, you have the following rights:

• Right to access your personal data
• Right to rectification of inaccurate data
• Right to erasure of your data (the "right to be forgotten")
• Right to restrict processing of your data

6. System Access

6.1 Access Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the EuropaDX System for your internal business or personal purposes.

6.2 Access Restrictions

You may not:

• Attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the System
• Access or use the System in order to build a product or service which competes with the System
• License, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit the System
• Attempt to obtain, or assist third parties in obtaining, access to the System, other than as provided under this Agreement
• Introduce or permit the introduction of any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful

6.3 Access Term

Your access rights will remain in effect until terminated by you or us. You may terminate your access at any time by notifying us and ceasing all use of the System. We may terminate your access if you fail to comply with any term of this Agreement.

7. Third-Party Disclosure

We do not sell, trade, or otherwise transfer your personal data to third parties without your consent, except as described below:

• Service providers who assist us in operating the System and conducting our business
• Legal authorities, if required by law or to protect our rights
• In the event of a merger, acquisition, or sale of all or a portion of our assets

8. International Data Transfers

Your personal data may be transferred to, and processed in, countries other than the country in which you reside. These countries may have data protection laws that are different from the laws of your country. By accepting this Agreement, you consent to these transfers. We ensure appropriate safeguards are in place to protect your personal data.

9. Updates to This Agreement

We may update this Agreement from time to time. If we make material changes, we will notify you by email or through the Software. Your continued use of the Software after such notification constitutes acceptance of the updated Agreement.
